The 2019 annual figures and annual report of Royal FloraHolland were approved by the Members' Council during the Members' Council meeting on Thursday 23 April 2020. The Supervisory Board (SB) and the external accountant PwC previously approved the annual report on 16 April.
The preparation of the annual figures and the annual report was followed by the Finance Committee of the Members' Council. It was an intensive process, partly due to the impact of the coronavirus. The report also includes events after the balance sheet date that must be current at the time of signing, with the knowledge that current events now change weekly, of course.
Positive result to general reserve
The year 2019 ended with a modest profit and a great performance on nearly all of Royal FloraHolland's financial performance indicators. These good results for 2019 must be seen in the light of the current corona crisis, the consequences of which cannot yet be fully assessed. It is clear that no matter what happens, Royal FloraHolland will incur losses in 2020. For this reason, the Members' Council accepted the Management Board's proposal to add the positive net result (after corporate income tax) for 2019, which amounts to € 5,596,000, to the general reserve of the cooperative to strengthen it during the meeting.
Early payment 2012 annual instalment
In addition, the Members' Council agreed to the early payment of the 2012 annual instalment. This is linked to the ratio of the risk-bearing capital, amongst other things. With the insights we have now, early payment of the 2012 annual instalment to all members will not be problematic. The Management Board and the SB will determine whether the payment is justified once again right before payment.
Furthermore, the Management Board informed the Members' Council about the current developments within the company, this currently happens on a weekly basis. The Royal FloraHolland annual report was presented to the press at a press conference on Friday morning, 24 April.
